This Service Agreement ("Agreement") is made and entered into as of , by and between RubberDuck Enterprises, with its principal place of business at 213 N Third St., Rockford, IL 61107 ("Service Provider"), and

The Factory Roofing PLLC ,

with its principal place of business at

213 North Third St, Rockford, IL 61107   ("Client").

  1. 1. Services
    Service Provider agrees to provide only those services that are specifically selected in Section 15, Scope of Services (the “Services”). The Services will be performed on a month-to-month basis commencing on .
  2. 2. Term and Termination
    1. 2.1. The term of this Agreement will begin on and will continue on a month-to-month basis until terminated by either party with 30 days' written notice.
    2. 2.2. Either party may terminate this Agreement immediately if the other party breaches any material term of this Agreement and fails to cure such breach within 10 days after receiving written notice of the breach.
  3. 3. Payment
    1. 3.1. Setup Fee
      The standard one-time setup fee for website services is __$10,000__ . A discount of __$8,500.00__ has been applied, resulting in a final setup fee of __$1,500.00__ .
    2. 3.2. Monthly Fee
      The standard monthly fee for ongoing services starts at __$550__ . A discount of __$288__ has been applied, resulting in a final monthly fee of __$262.00__ .
      1. 3.2.1. Marketing Campaign Expenses
        The Monthly Fee outlined in Section 3.2 does not include costs associated with paid social media advertising, boosted posts, or any other third-party marketing campaign expenses. These expenses shall be billed to the Client separately and must be pre-approved by the Client in writing prior to execution. The Client agrees to reimburse the Service Provider for such costs in full.
      2. 3.2.2. Handling Fee
        In addition to reimbursable expenses outlined in Section 3.2.1, the Client agrees to pay a handling fee of $100 or 15% of the total expense, whichever is greater, to cover administrative, strategic, and management services associated with the execution of such campaigns.
    3. 3.3. Payment Due Date
      Payments are due on the 20th of each month. Late payments will incur a late fee of 1.5% per month on the outstanding balance.
    4. 3.4. Fee Adjustments
      All fees outlined in this Agreement are subject to change at the discretion of Service Provider. Any changes to fees will be communicated to the Client in writing 30 days prior to the change.
    5. 3.5. Suspension of Services for Non-Payment
      If payment is not received within five (5) days of the due date specified in Section 3.3, the Service Provider reserves the right to suspend all services until the account is brought current. Continued non-payment beyond thirty (30) days may result in termination of services and possible cancellation of the Agreement at the sole discretion of the Service Provider. Any data or materials associated with the services may be withheld or removed until payment is resolved.

      In the event that legal action or third-party collection efforts are required to recover unpaid balances, the Client agrees to be responsible for all reasonable costs of collection, including but not limited to court costs, collection agency fees, attorney’s fees, and interest at the maximum rate allowable by law.
  4. 4. Confidentiality
    1. 4.1. Each party agrees to keep confidential all information received from the other party that is marked as confidential or that should reasonably be understood to be confidential.
    2. 4.2. This confidentiality obligation will continue for one year after the termination of this Agreement.
  5. 5. Liability
    1. 5.1. Service Provider will perform the Services in a professional manner consistent with industry standards.
    2. 5.2. In no event will Service Provider be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
  6. 6. Governing Law
    This Agreement will be governed by and construed in accordance with the laws of the State of Illinois.
  7. 7. Entire Agreement
    This Agreement, including Exhibit A, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
  8. 8. Amendments
    No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.
  9. 9. Notices
    All notices required or permitted under this Agreement will be in writing and will be deemed given when delivered personally, sent by certified or registered mail, or sent by recognized overnight courier service, to the addresses specified above or to such other address as a party may specify in writing.
  10. 10. Client Updates and Meetings
    1. 10.1. Monthly Updates
      The Client will receive detailed monthly updates on the progress and status of the Services provided.
    2. 10.2. Monthly Meetings
      The Client is entitled to one meeting per month with Service Provider during normal business hours. This meeting will be scheduled in advance and held at a mutually agreed time.
  11. 11. Ownership of Design Files and Content
    1. 11.1. Ownership Retained by Service Provider
    2. 11.2. Service Provider retains full ownership of all design files, content, and intellectual property created under this Agreement. The Client is granted a non-exclusive, non-transferable license to use the provided materials solely for the purposes outlined in this Agreement.
    3. 11.3. If the Client wishes to purchase full ownership rights, a buyout fee may be negotiated and agreed upon in writing by both parties. Ownership rights will only transfer to the Client upon full payment of the agreed buyout fee.
  12. 12. 12-Month Commitment
    1. 12.1. The Client agrees to a 12-month commitment for the services provided under this Agreement. If the Client wishes to terminate the contract before the end of the 12-month term, the Client will owe 20% of the remaining contract value, in addition to a transfer fee of __$2,000.00__ . This amount is due immediately upon early termination.
  13. 13. Licensing Clause
    1. 13.1. Service Provider grants the Client a limited, non-transferable license to use any software, designs, and materials created or provided for the services being rendered under this Agreement. This license is valid only for the duration of the contract or for the period during which the Client is receiving paid services from Service Provider. Upon termination or expiration of the contract, all rights to use the licensed materials will cease, and the Client must immediately stop using the licensed materials unless otherwise agreed upon.
  14. 14. Project Planning and Content Requirements
    Once all terms have been finalized and the design fee has been processed; the planning stage will commence.

    The website design process will not begin until all required content listed below has been provided by the Client or the appropriate add-on services (such as Content Writing or Logo Design) have been purchased. If no content is submitted and no relevant add-on is selected, placeholder or AI-generated text may be used at the discretion of the Service Provider.
    1. 14.1. Visual Content Requirements
      1. 14.1.1. Logo File: A high-resolution logo in PNG or vector format. PNG files must have a transparent background; PNGs with a white background are not acceptable. If the image is of insufficient quality, the Client must supply a higher resolution file or request the Logo Design add-on.
      2. 14.1.2. Portfolio Images: Images for the Portfolio Section, with a limit of up to fifteen (15) items.
    2. 14.2. Written Content Requirements
      1. 14.2.1. Introductory Section: A brief introduction to be featured prominently on the homepage.
      2. 14.2.2. Services Overview: Titles and descriptions for up to six (6) products or services offered.
      3. 14.2.3. About Section: A summary outlining the Client’s mission, values, and history.
      4. 14.2.4. Portfolio Layout: Selection of one (1) portfolio display format:
        1. 14.2.4.1. Image Slider
        2. 14.2.4.2. 3-Column Grid
        3. 14.2.4.3. Masonry Layout
      5. 14.2.5. Contact Information: All relevant contact details, including business email, phone number, physical address, and social media links.
    3. 14.3. Facebook Account Access
      If Facebook Management is included in the selected services, the Client is required to provide the Service Provider with administrator access to the relevant Facebook account prior to any work being performed.

 

  1. 15. Scope of Services
    The services to be provided by the Service Provider under this Agreement are detailed below. Only the services specifically listed and checked or described in the space provided shall be considered included in this contract. Any additional services not listed or subsequently requested may be subject to a separate agreement or amendment to this contract.
    1. 15.1. Packages (Grouped Solutions)
      Choose from one of our professionally bundled website & marketing packages. Each one is designed to meet your business where it's at—and help it grow.
      1. 15.1.1. Essentials Package : $100

        Build a solid foundation with everything you need for a clean, professional online presence. The Essentials Package gives you a modern, mobile-friendly website that works smoothly on all major browsers. Each month, we meet with you to review your site and make updates to your content, photos, or business info—keeping everything accurate and up to date

        This plan includes fast, secure hosting with a global CDN (Content Delivery Network) for faster load times and daily backups to protect your data. We also take care of all the ongoing website maintenance to keep things running smoothly behind the scenes

        We make it easy for customers to book time with you using built-in Calendar Booking Tools. You’ll also get Email Aggregation, which collects your contacts from different platforms into one place, so staying in touch is easy and organized.

        To help your business shine online, we include Reputation Management tools that encourage positive reviews and protect your brand.

      2. 15.1.2. Pro Package : $500

        Includes everything in the Essentials Package — plus powerful upgrades to grow your brand and expand your reach.

        With the Pro Package, we double your strategy sessions and meet bi-weekly to keep your website and marketing aligned with your goals. You’ll also get full Facebook management with custom-branded banners and profile images, plus three engaging posts per week to help boost your visibility and keep your audience interested.

        Your hosting stays fast and secure with daily backups and global CDN integration, and all your contacts continue to be collected and organized through Email Aggregation.

        This package is perfect for businesses that want to take their online presence to the next level with more support, more strategy, and more ways to connect with customers.

        Get a professionally designed custom website delivered as a one-time project—perfect for clients who prefer to manage their own hosting, licensing, and maintenance. We’ll build a modern, mobile-responsive website tailored to your brand, including custom layouts, styling, and content setup.

        Please note: This option does not include ongoing updates, plugin or theme licensing, security patches, or monthly maintenance. It is the client’s responsibility to maintain the website after delivery, including purchasing any required licenses to ensure continued design functionality and software security.
    1. 15.2.2. Calendar Booking Tools : $10/mo

      Make booking appointments simple and hassle-free for your customers with our easy-to-use calendar booking tools. Clients can choose the date and time that works best for them directly on your website—no phone calls or back-and-forth required.

      Our system syncs with your existing calendar to avoid scheduling conflicts and prevent double-bookings. If you already have an appointment, the time slot won’t be available—keeping your schedule accurate and up to date.

      Booking forms are fully customizable to fit your services and collect the exact details you need from each customer. This streamlined process offers a professional and convenient experience that keeps your calendar full and your clients happy.
    2. 15.2.3. Business Phone with Tracking : $50/mo

      We also provide you with access to a system specifically tailored for your business to give you full control over your own newsletter content creation, distribution and messaging.
    4. 15.2.5. Custom Newsletter Writing & Scheduling : $100/per newsletter (invoiced separate)

Whether you choose bi-weekly or monthly delivery, we handle the setup, design and content so your communications go out automatically—saving you time while keeping your brand consistent.

      We manage your subscriber list to make sure the right people receive your updates. Each newsletter can include clickable links to your social media profiles, a “View in Browser” option for better readability, and clear subscription settings so users can opt in or out with ease.

      Your newsletter will also feature strong calls to action (CTAs) to drive clicks and leads, a forward button so readers can easily share with others, and a navigation bar that links directly to your website, guiding readers to the pages that matter most.

    8. 15.2.9. E-Signatures : $65/mo

      Every signed document is saved as a PDF that you can download or receive by email for your records. Our system meets all major legal standards, including UETA, ESIGN, and GDPR compliance, so your contracts are safe and valid.

    4. 15.2.13. Logo Design : $200/each (one-time fee)

      Create a memorable and professional brand identity with a custom logo designed just for your business. Our logo design services focus on capturing your unique style and values, making sure your brand stands out and connects with your target audience.

      A great logo builds trust and recognition, helping your business leave a lasting impression—whether on your website, business cards, or social media profiles. We work closely with you to deliver a logo that represents your vision perfectly.

    5. 15.2.14. Motion Headers : $500

      Make a striking first impression with dynamic motion headers that bring your website to life. Our motion headers use smooth animations and eye-catching effects to capture visitor attention and showcase your brand’s personality right from the start.

      These custom animated headers add energy and professionalism to your site, helping keep visitors engaged and encouraging them to explore further.

    6. 15.2.15.   File Upload & Custom Forms : $200/hr (invoiced separate)

      Streamline your workflow with custom forms designed to collect exactly the information your business needs. Whether you're gathering client details, service requests, feedback, or submitted content, each form is tailored to fit your process and goals.

      Need to receive files like photos, documents, or PDFs? We can include secure file upload features so users can easily send what you need—directly through your website. Everything is organized and accessible, making communication smooth and efficient.
    7. 15.2.16.   E-Commerce & POS Setup : $300/mo

      Sell your products both online and in person with a fully integrated E-Commerce and Point of Sale (POS) system. We handle the setup of a secure, professional online store along with POS tools that let you accept payments at your physical location, pop-up shop, or event.

      From product listings and shopping carts to checkout and payment processing, we make it easy for customers to shop—and for you to manage it all in one place. Whether you're selling physical items, services, or digital goods, your store will be customized to match your brand and provide a smooth buying experience across every platform.

    8. 15.2.17. Mow Your Lawn : Not a Service We Provide
      Please note that lawn mowing is not a service offered by us. However, upon request, we can provide referrals to trusted local lawn care professionals who can assist you with your yard maintenance needs. We do not perform or guarantee any lawn care services ourselves.

 

  1. Exhibit A: Scope of Work
    This Exhibit outlines the details of services that may be included in the Agreement if selected in Section 17.1. Only the services indicated as included in Section 17.1 shall apply.
  2. 1. Website Design Inclusions
    The Service Provider agrees to include the following items as part of the standard website design service package:
    1. 1.1. Header and Navigation
      1. 1.1.1. A custom header featuring the Client’s provided logo and a streamlined navigation menu.
      2. 1.1.2. The Client shall provide a high-resolution PNG or vector logo file.
    2. 1.2. Introductory Section
      1. 1.2.1. A brief introductory section displayed prominently on the homepage.
      2. 1.2.2. The Client shall supply the written content or may elect to use the Content Writing add-on service.
    3. 1.3. Services or Products Overview
      1. 1.3.1. A section displaying up to six (6) icons, each with a title and brief description of the Client’s products or services.
      2. 1.3.2. The Client shall provide all content. Additional items may require a separate quote and agreement.
    4. 1.4. About Us Section
      1. 1.4.1. A single section outlining the Client’s mission, values, and history.
      2. 1.4.2. The Client shall supply the content, request to withdraw the section, or request the Content Writing add-on service.
    5. 1.5. Portfolio Gallery
      1. 1.5.1. A gallery section showcasing past work in one of the following formats: image slider, 3-column grid, or masonry layout.
        1. 1.5.1.1. If the client has a preference for which of these layouts is used, it must be communicated before the design process has begun.
      2. 1.5.2. The portfolio includes up to fifteen (15) items. Additional items may be subject to additional fees.
        1. 1.5.2.1. The portfolio section will be considered voluntarily excluded if images are not provided before the design process has begun.
    6. 1.6. Contact Section
      1. 1.6.1. A designated section for the Client’s contact information, including email, phone number, physical address, and social media links.
      2. 1.6.2. The Client shall provide all necessary contact information.
    7. 1.7. Calls to Action (CTAs)
      1. 1.7.1. Up to three (3) CTA elements (e.g., buttons or links) strategically placed to guide user interaction (e.g., “Contact Us” or “Get a quote”)
    8. 1.8. Footer Section
      1. 1.8.1. A standardized footer design including business contact information, copyright notice, and quick links.
      2. 1.8.2. One (1) footer layout is included in the package.
    9. 1.9. Stock Imagery
      1. 1.9.1. Basic royalty-free images will be used where necessary.
      2. 1.9.2. Professional photography is not included and may be purchased separately during onboarding or upon request.
    10. 1.10. Page Limit
      1. 1.10.1. The standard design package includes up to five (5) unique pages (e.g., Home, About, Services, Contact, Portfolio).
      2. 1.10.2. Pages must be confirmed and finalized during the planning phase. Additional pages require written approval and may incur additional charges.
    11. 1.11. Content Requirements
      1. 1.11.1. All written content is to be provided by the Client.
      2. 1.11.2. If no content is submitted and no Content Writing add-on is selected, placeholder or AI-generated text may be used at the discretion of the Service Provider.
      3. 1.11.3. SEO optimization, blogging, and image copywriting are excluded unless otherwise agreed in writing.
    12. 1.12. Design Functionality Scope
      1. 1.12.1. Websites will be developed using a curated toolkit of layout and design components to ensure quality, performance, and maintainability.
      2. 1.12.2. Requests for advanced features, third-party integrations, or custom code outside this standard toolkit are subject to additional review and may require separate agreement and fees.
  3. 2. Social Media Management Services
    If selected, the following services will be provided as part of the Client’s Social Media Management package:
    1. 2.1. Post Management of selected platforms
      1. 2.1.1. Creation and scheduling of content tailored to the Client’s brand and audience.
    2. 2.2. Banner Design
      1. 2.2.1. Design of a custom cover banner aligned with the Client’s branding.
    3. 2.3. Profile Design
      1. 2.3.1. Design or optimization of the Client’s Facebook profile image and associated visual branding elements.
    4. 2.4. Scheduled Content
      1. 2.4.1. Predetermined number of posts per week, subject to approval timelines and the Client providing any necessary content or direction in a timely manner
    5. 2.5. Service Provider is not responsible for responding to messages or answering comments on behalf of the Client.
    6. 2.6. If the client provides little to no usable content, the Service Provider is not responsible for any decline in social media success due to lack of authentic content. Usable content is defined as video, clear photos, or suggested promotions meant to engage or attract business.
  4. 3. Additional Services Available
    The following services may be provided by the Service Provider either as add-ons, custom scopes of work, or under a separate agreement. These are not included in the base agreement unless explicitly indicated in Section 17.1.
    1. 3.1. Custom Photography
      1. 3.1.1. Professional photography services tailored to the Client’s brand or campaign needs.
    2. 3.2. Custom Coding
      1. 3.2.1. Development of unique web features or functionalities outside the standard toolkit.
    3. 3.3. E-Signatures
      1. 3.3.1. Implementation of electronic signature tools for forms, contracts, or other business processes.
    4. 3.4. Third-Party Integration
      1. 3.4.1. Integration with external platforms, CRMs, or APIs as specified by the Client.
    5. 3.5. Logo Design
      1. 3.5.1. Creation of a custom logo including initial concepts, revisions, and final deliverables.
    6. 3.6. Content Writing
      1. 3.6.1. Professionally written content for web pages, blog posts, bios, product descriptions, or marketing copy.
    7. 3.7. Newsletters
